TORONTO CREATIVES TERMS OF SERVICE

1. Introduction

These Terms of Service (“Terms”) govern your use of services provided by Toronto Creatives, Inc. (“Toronto Creatives”, “we”, “us”, “our”), a Florida corporation, document number P26000032609, with offices at 5225 Tech Data Drive, Unit 2126, Clearwater, FL 33760, United States, and 325 Front St. W., 2nd Floor, Toronto, ON M5V 2Y1, Canada. By accessing our services you agree to these Terms in full.

2. Services

We provide video production and content creation, brand design and strategy, commercial and personal photography, digital advertising and marketing, website design and development, social media management, and marketing consulting.

3. Project terms

3.1 Project commencement. 50% deposit required before work begins. Remaining 50% due within 30 days of project completion. Late payments subject to 2% monthly interest (26.82% annually).

3.2 Deliverables. All deliverables remain the property of Toronto Creatives, Inc. until paid in full. Final files are provided upon complete payment, in standard deliverable formats (jpg, png, eps, mp4 and similar).

3.3 Revisions. Revision limits are specified in individual project quotes. Additional revisions are billed at current hourly rates.

4. Intellectual property

4.1 Client materials. Clients retain ownership of their original materials and grant us a licence to use them for project completion.

4.2 Our work. We retain ownership of our creative tools and processes. Clients receive usage rights as specified in project agreements. Portfolio usage rights are retained by Toronto Creatives, Inc.

5. Website hosting and domains

5.1 Hosting services are provided through Flywheel and are subject to Flywheel’s terms. Hosting is optional and is not required for other services.

5.2 Domain registration: annual fee $25.00, auto-renewal unless cancelled 60 days prior. Transfer options available on request.

6. Confidentiality

We maintain strict confidentiality regarding client business information, marketing strategies, project details, pricing information and client data.

7. Cancellation and refunds

7.1 Project cancellation. The 50% deposit is non-refundable. Work completed is billed at current rates. Materials are released on payment for completed work.

7.2 Service cancellation. 60 days written notice required. Pro-rated refunds where applicable. Domain transfers available on request.

8. Liability

8.1 Our maximum liability is limited to the project fees paid. We are not liable for indirect or consequential damages. Force majeure provisions apply.

8.2 Clients indemnify us against third-party claims. We indemnify clients against intellectual property infringement claims.

9. Prohibited uses

Our services may not be used for illegal activities, adult content, hate speech or discrimination, copyright infringement, spam or unsolicited communications, or malicious software distribution.

10. Text messaging

Where you have given consent, Toronto Creatives, Inc. may contact you by SMS about an enquiry you submitted and to confirm or remind you of appointments.

Consent to receive text messages is optional and is never a condition of purchase or of any other service.
Message frequency varies. Message and data rates may apply.

Carriers are not liable for delayed or undelivered messages.

11. Changes to terms

We may modify these Terms with notice by email or on our website, and 30 days notice for material changes. Continued use constitutes acceptance.

12. Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, and the courts of Ontario have jurisdiction.
